Overview

Tenerity is a global technology-led marketing loyalty company specialising in customer engagement and customer retention solutions on both the B2B and B2B2C segments.  Our solutions and loyalty programs include leisure, cashback and marketplace offers at a large network of retailers, insurance benefits, online cyber protection.

 

The person would be based in London. It is a hybrid position with 2 days worked out of our London office near Oxford Circus.

Responsibilities

UK CoSec and Corporate

 

  • Overall responsibility for all filings with Companies House, updates to registers and generally for the corporate administration of all International group companies/the International structure (outside the US).

 

  • Convening, preparing and leading UK and Dutch board meetings and annual general meetings where required (producing agendas, taking minutes, conveying decisions, handling meeting correspondence), drafting shareholder and board resolutions where needed.

 

  • Responsible for corporate governance matters, including guidance to company directors about legal and regulatory requirements. Providing legal, financial and/or strategic advice during and outside of board meetings.

 

  • Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation.

 

  • Overseeing cross-border activities and intra-group management fees.

 

  • As main contact point for the finance and tax department within the legal team, overseeing financing arrangements and all tax matters from a legal perspective, preparing legal memos and step plans about proposed tax projects if needed.

 

  • Collating information for maintaining the International log of Bonds and Guarantees.

 

  • Overseeing the corporate activity for other International entities (outside of the UK) with the support of the relevant local legal counsel.

 

  • Providing support for Due Diligence in the case of M&A activities, in all International markets.

Qualifications

SENIORITY AND EXPERIENCE 

 

Candidates would ideally be fully qualified in the UK, with CoSec experience. We are looking for someone mid level (3-5 years post qualification experience) who is highly motivated and energetic.

 

 

REQUIRED SKILLS 

 

  • Very good organisation and communication skills.
  • An excellent knowledge of the Companies Act.
  • Working autonomously.
  • Pragmatic and commercially minded.
  • Part of a team of circa 10 legal counsels (5 in the UK, 5 in other markets), the person would be reporting to someone senior in the team or the General Counsel.
